End-User License Agreement (EULA)
Effective Date: August 02, 2025
This End-User License Agreement ("Agreement") is a legal agreement between you ("Licensee," "you," or "your") and Urban Digital Studio, LLC ("Licensor," "we," "us," or "our") governing your use of the software, platforms, and services provided by Licensor, including the AI chatbot platform ("Software").
1 License Grant
Subject to your compliance with this Agreement, Licensor grants you a limited, non-exclusive, non-transferable, revocable license to use the Software solely for your internal business purposes during the subscription period.
2 Restrictions
You shall not:
- Copy, modify, distribute, sublicense, or create derivative works of the Software except as expressly permitted
- Reverse engineer, decompile, or attempt to extract the source code of the Software
- Use the Software to develop a competing product or service
- Remove or alter any proprietary notices or labels on the Software
- Use the Software in any unlawful manner or to violate any applicable laws or regulations
3 Ownership
The Software and all intellectual property rights therein are owned by Licensor and its licensors. This Agreement does not grant you any ownership rights in the Software.
4 Updates and Maintenance
Licensor may provide updates, upgrades, or patches to the Software from time to time. Such updates will be subject to this Agreement unless otherwise specified.
5 Term and Termination
- This Agreement is effective until terminated. You may terminate by discontinuing use of the Software and deleting all copies.
- Licensor may terminate or suspend your license immediately if you breach any terms of this Agreement.
6 Disclaimer of Warranties
The Software is provided "as is," without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement.
7 Limitation of Liability
Licensor shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of your use or inability to use the Software, even if advised of the possibility of such damages.
8 Indemnification
You agree to indemnify and hold harmless Licensor from any claims, damages, or losses arising from your misuse of the Software or violation of this Agreement.
9 Governing Law
This Agreement shall be governed by the laws of the State of Michigan, USA.
10 Entire Agreement
This Agreement constitutes the entire agreement between you and Licensor regarding the Software and supersedes all prior agreements.
